These Terms of Service (“Terms”) govern your use of the websharp.co.uk website and any related services (the “Services”) provided by WebSharp (“WebSharp”, “we”, “us”). By accessing the Services, signing up for an account, or engaging us for design or development work, you agree to be bound by these Terms in full.
WebSharp provides web design, development, and ongoing care services on a project and subscription basis. Specific deliverables, timelines, and fees for any engagement are agreed in a separate written statement of work or proposal (a “Project Agreement”). In the event of any conflict between a Project Agreement and these Terms, these Terms govern except where the Project Agreement expressly states otherwise.
You must be at least 18 years old and authorised to enter into a contract on behalf of yourself or the entity you represent to use the Services. You are responsible for keeping your account credentials secure, for all activity that occurs under your account, and for the accuracy of any information you provide to us. Notify us immediately of any unauthorised use.

We reserve the right to suspend or terminate your access for any breach of this section, with or without notice and without liability.
All pre-existing intellectual property remains owned by its original owner. WebSharp retains ownership of its tools, methodologies, templates, code libraries, and any general know-how developed in the course of performing the Services.
On full payment of all fees due under the relevant Project Agreement, we grant you a non-exclusive, worldwide, perpetual, non-transferable licence to use the final deliverables for the purpose for which they were created. We retain the right to display a tasteful credit on your live site (which you may waive by written request) and to use anonymised versions of the work in our portfolio.
You retain ownership of any content, photography, copy, and data you provide to us. You grant us a worldwide, royalty-free licence to use that content solely as necessary to provide the Services.
Fees for project work and ongoing care subscriptions are stated in the relevant Project Agreement. Subscription fees are billed monthly in advance and are non-refundable. We may revise subscription fees on at least thirty (30) days' notice; continued use of the Services after the revised fees take effect constitutes acceptance. Late payment carries interest at 4% above the Bank of England base rate, calculated daily, and we reserve the right to suspend the Services until the account is current.
You may cancel an ongoing care subscription at any time on thirty (30) days' written notice to hello@websharp.co.uk. We may terminate or suspend your access immediately, without notice or liability, for any breach of these Terms or non-payment.
On termination, your right to use the Services ends immediately. We will retain backups for a reasonable period in line with our retention policy and any legal obligations, then permanently delete your data. Provisions that by their nature are intended to survive termination — including sections 4, 8, 9, 10, and 13 — will so survive.
The Services may integrate with or rely on third-party providers (including hosting, analytics, content management, payment, and authentication services). We are not responsible for the availability, accuracy, security, or content of any third-party service. Your use of any such service is subject to its own terms and privacy policy.
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, WebSharp expressly disclaims all warranties of any kind, whether express, implied, statutory or otherwise, including without limitation any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, secure, error-free, or free of viruses or harmful components.
We make no representation or warranty that any business outcome — including ranking, traffic, conversion, sales, or revenue — will result from the Services.
To the fullest extent permitted by applicable law, WebSharp's aggregate liability to you for any and all claims arising out of or relating to these Terms or the Services (regardless of the form of action, whether contract, tort (including negligence), strict liability, or otherwise) is limited to the total fees actually paid by you to WebSharp in the twelve (12) months immediately preceding the event giving rise to the claim, or £100, whichever is greater.
In no event will WebSharp be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including without limitation loss of profits, loss of revenue, loss of business, loss of data, loss of goodwill, or business interruption — even if WebSharp has been advised of the possibility of such damages.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
You agree to indemnify, defend, and hold harmless WebSharp, its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) any content, instructions, or materials you provide; or (d) your use of the Services.
Each party will treat as confidential any non-public information disclosed by the other in connection with the Services, and will use it only as necessary to perform under these Terms. This obligation survives termination for a period of three (3) years.
Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, civil unrest, war, terrorism, pandemic, government action, infrastructure or telecommunications failure, or third-party service outages.
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that we may bring proceedings to enforce our intellectual property rights in any competent jurisdiction.
We may revise these Terms at any time by posting an updated version on this page. Material changes will be flagged at the top of the page. Continued use of the Services after changes take effect constitutes acceptance.
